SPACE RENTAL AGREEMENT

YOU AGREE TO BE BOUND BY THIS SPACE RENTAL AGREEMENT UPON THE EARLIER OF: (A) CLICKING THE “ACCEPT” OR “AGREE” SELECTOR ACCOMPANYING THIS AGREEMENT; OR (B) ORDERING, PAYING FOR, RECEIVING OR USING ANY SERVICES, PRODUCTS OR FACILITIES THAT WE MARKET, PROVIDE OR MAKE AVAILABLE (THE EARLIEST DATE OF THE FOREGOING EVENTS BEING REFERRED TO HEREIN AS THE “EFFECTIVE DATE”). 

1. Introduction. This Space Rental Agreement (“Agreement”), effective as of the Effective Date, fully incorporates the General Terms posted at www.wavesdreams.com/general-terms (“Terms”) and is entered into by and between Waves & Dreams Productions LLC (“our,” “us,” or “we”) and the person who accesses or otherwise uses our Studio (defined below) for purposes of recording, mixing, mastering, or producing music (“you”). The term “Studio” and the other capitalized terms in this Agreement will have the meanings given to them in the Terms unless otherwise defined herein.  

2. Booking and Payment. 

2.1 When you book time to use the Studio (“Space Rental”), you will pay us a fee at the rate listed at our website’s booking webpage. If such webpage indicates a down payment requirement (e.g., one-half of the fee) you will pay such down payment at the time of booking. 

2.2 You may set your own fee rates for your own customers except that, for consistency with our reputation, you will not charge your customers at a rate under $50/hour. 

3. Bonus Hours. 

3.1 For every four (4) hours that you book and purchase for Space Rental, we will grant you one bonus hour. Bonus hours are rounded to the nearest hour and calculated to determine a bonus hour balance at the end of each month. We will provide you with a credit, based on such balance, for the immediately following month. Bonus hours will reset to zero at the end of each month and will not roll over for use during any period other than the month immediately following the month during which you achieved the bonus hours. Upon the termination of this Agreement, any remaining bonus hours will be forfeited. 

3.2 You may request to reserve time in the Studio to use the bonus hours if there are no other bookings that conflict with the requested reservation. You must schedule the reservation online at our website. 

3.3 You may use the bonus hours to work on productions, mixes, sound design, and similar activities. When using bonus hours, you will not invite or allow any other person to enter the Studio without our prior written consent. Unless our consent (if given) expressly provides otherwise, such person may not be involved in the musical process and may not be involved with the use of any Studio equipment. If any such person is involved in the musical process, this event will count as a Space Rental, and you will be charged (and will promptly pay) the hourly rental fee for the amount of time the Studio is in use by such person.

4. Summary of Studio Rules. As a reminder of certain obligations under the Terms, including those pertaining to Studio rental, you must abide by the following rules and requirements: 

4.1 Guest. You will not leave any Guest unattended in the Studio. 

4.2 Security Codes. If we provide you with a code (e.g., combination number) to access the Studio or any equipment cabinet or lock of the Studio, you will hold the code in confidence and will not share it with any third party. 

4.3 Keys. If we provide you with any physical keys to access the Studio or any equipment cabinet or lock of the Studio, you will not create any copies of the keys. If you have not booked any Time Slot for a period of thirty (30) days, we may require you to return the keys to us, and if so, you will return the keys upon our written notice. All keys that we provide to you will remain our property. 

4.4 Shoes. When entering the Studio, shoes must be removed and placed on the shoe rack. 

4.5 Drinks. Neither you nor any Guest will bring any liquid-filled cups or open drinking containers into any booth of the Studio. Only bottled drinks are allowed in our booths.

4.6 Final Steps. Before leaving the Studio, you will:

(a) power off all equipment except for the power conditioner; 

(b) use the vacuum cleaner or wipes to clean up any ashes, crumbs or food anywhere in the Studio;

(c) remove any food from the Studio or its garbage cans, dispose of all food in the main bin outside of the Studio’s building, and replace the garbage bag in the Studio; and 

(d) ensure that the Studio’s door is locked.

4.7 Smoking. As a reminder, no smoking is allowed in any booth. 

5. Term and Termination. The term of this Agreement will begin on the Effective Date and will end upon the earlier of the following: (a) our written termination notice to you if: (i) you are in breach of this Agreement; or (ii) at the time of our notice, you have no unused hours for the Studio that you have purchased; or (b) your written termination notice to us if, at the time of such notice, you have completed any services that you have agreed to perform to any Referred Client.
